A company with an Electronic Cabinet is deemed served on the day the court receives notification that the ruling has been delivered to the cabinet, even if nobody has opened it (Commercial Procedure Code, Art. 116(1), Art. 242(6)(2)). Those 15 days have to cover the statement of defence, all the evidence, motions for the court to obtain evidence and a counterclaim, while a motion to recuse the judge has to be filed even earlier, within 10 days. If the defendant fails to file a statement of defence without good reason, the court decides the case on the available materials (Art. 165(9)), which in practice means on what the claimant has submitted.

In 2025, local commercial courts issued judgments in 40,762 cases and granted the claim in 34,321 of them, or 84.2 % (State Judicial Administration (SJA), Form No. 1-г). The story of Barnat LLC (No. 904/5368/24) shows how a company can lose a case without saying a single word to the court. The court sent the ruling opening the proceedings to the company’s Electronic Cabinet back in December 2024; no statement of defence was filed, so in March 2025 UAH 2,464,888.44 was recovered from the company on the available materials. The company appealed almost five months after the judgment had been delivered to its cabinet, citing a letter from a private enforcement officer and power outages. The Commercial Cassation Court of the Supreme Court (CmCC SC) agreed that the court of appeal had been right to refuse to open appellate proceedings: a defendant with a cabinet could have known about the case.

From which day the time limit for a statement of defence runs

All legal entities registered under Ukrainian law are required to have an Electronic Cabinet in the Electronic Court system, not to be confused with the taxpayer’s cabinet (Commercial Procedure Code, Art. 6(6)). According to the Joint Chamber of the CmCC SC, this obligation has applied since 4 November 2023 (No. 908/3731/23). The court serves documents on a cabinet holder only through the cabinet (Art. 6(7)). The day of service is the day the court receives notification that the ruling has been delivered (Art. 242(6)(2)), and a ruling sent after 17:00 is deemed served on the next working day (Art. 242(6)). A ruling delivered to your advocate’s cabinet is deemed served on the company as well (Art. 242(7)). Checking the cabinet only now and then is risky: in case No. 916/4915/24 the defendant said it learned of the judgment only when its bank accounts were frozen. The CmCC SC pointed out that a cabinet holder “should have taken steps to check notifications at certain intervals”.

The first day of the time limit is the day after service, the last day lasts until 24:00, and if the last day is a non-working day, the time limit expires on the first working day after it (Art. 116(1), (4), (6)). A document handed in at the post office before the end of the last day is filed on time, but an act that can only be performed at the court must be done before the end of the court’s working hours (Art. 116(6), (7)). A hypothetical example: the ruling is delivered to the cabinet on Monday, 5 October 2026, at 15:00. The first day of the time limit will be 6 October, and the fifteenth will be Tuesday, 20 October. Had the court sent the ruling at 17:30, it would have been deemed served on 6 October, and the time limit would have expired on Wednesday, 21 October. Under martial law, Article 73 of the Labour Code does not apply (Law No. 2136-IX, Art. 6(6)), and we have not found a Supreme Court position on whether a public holiday moves the end of a time limit. If the last day falls on a public holiday, file your documents the day before.

To a company without a cabinet, the court sends the ruling on paper by registered mail (Art. 242(11)), but a claimant who filed the claim through the Electronic Court is not obliged to send it paper copies (No. 908/3731/23). If a Ukrainian company without a cabinet files a statement of defence and gives no good reasons, the court may decide the case on the available materials (Art. 165(10)) and return its applications and motions without consideration (Art. 170(4), second paragraph). These consequences apply even when the company is represented by an advocate (Art. 6(6), second paragraph), so when you arrange court representation in your case, check whether the company itself has a cabinet.

A 15-day plan: what to do from day one

Day 1: the date, the type of proceedings and the time limit. Take a screenshot of the line showing the date and time of delivery, download the claim with its annexes and find in the ruling the type of proceedings and the time limit for the statement of defence (Commercial Procedure Code, Art. 176(2)(4), (8)). If the court chose simplified proceedings at the claimant’s request, it gives at least 5 days to object to them (Art. 176(4)), and once those days have passed, you can switch to general proceedings only for good reasons (Art. 250(5)).

Days 1–3: the court, the judge, arbitration and limitation. As a general rule, a claim is filed at the defendant’s location as recorded in the Unified State Register of Legal Entities (Art. 27(1)–(2)), and a case outside the court’s jurisdiction is transferred to the proper court (Art. 31(1)(1)). A reasoned motion to recuse the judge is filed within 10 days of receiving the ruling (Art. 38(3)), but disagreement with the judge’s procedural decisions is not a ground for recusal (Art. 35(4)). If the contract contains an arbitration clause, object to the dispute being heard by the commercial court before your first submission on the merits (Art. 226(1)(7)). For claims to recover a forfeit, whether a fine or a penalty (penya), the limitation period is one year (Civil Code, Art. 258(2)(1)).

Days 3–10: evidence and advocate’s requests. The defendant submits evidence together with the statement of defence (Art. 80(3)). An advocate’s request must be answered within 5 working days, and if a lot of information is requested, the time limit can be extended to up to 20 working days (Law “On the Bar and Practice of Law”, Art. 24(2)), so it is better to hand the case to a litigation lawyer in the first few days. If a piece of evidence cannot be submitted on time for objective reasons, notify the court in writing what the evidence is, why you do not have it and what you have done to obtain it (Art. 80(4)), and the court may grant additional time (Art. 80(5)). A motion for the court to obtain evidence is filed within the same time limit and lists the steps you have already taken on your own. A motion filed later will not be granted unless you prove that the reasons for the delay were beyond your control (Art. 81(1), Art. 81(2)(4)).

Days 10–14: the statement of defence, the counterclaim and the cost estimate. A preliminary estimate of legal costs is filed with the statement of defence (Art. 124(1)), and a counterclaim within the same time limit (Art. 180(1)). In simplified proceedings, this is also when you ask for a hearing with the parties notified; otherwise the case will be heard without notifying the parties, on the available materials (Art. 252(5), (7)).

Day 15, by 24:00: filing. File your statement of defence together with the evidence through the Electronic Court. Copies are sent to the other participants at the same time as filing (Art. 165(5)), and those who have a cabinet receive them through the system (Art. 42). Proof of sending is attached to the statement of defence and, if a representative signs it, a document confirming their authority as well (Art. 165(6)–(7)).

If you noticed the ruling only a few days before the time limit runs out, in general proceedings apply for an extension before it expires: a time limit set by the court is extended on such an application or on the court’s own initiative (Commercial Procedure Code, Art. 119(2)). There are two exceptions: the disagreement is apparent from the evidence attached, or the defendant proves that it failed to dispute the circumstance for reasons beyond its control (Art. 165(4)). In case No. 917/2382/24 on the recovery of UAH 53.9 million from Kremenchuk City Council, the defendant raised the VAT included in the claim amount only at the cassation stage, and the CmCC SC rejected this argument precisely because of Art. 165(4). So build your statement of defence as a response to every assertion in the claim about the delivery, the acceptance certificate, the demand letter or the amount of the debt: whether you admit it or not, and why. If the claimant used to act differently from what it now writes, show this with evidence: we looked at how courts assess a party’s inconsistent conduct in our article on estoppel in court proceedings.

The court applies the limitation period only on a party’s application made before the judgment is delivered (Civil Code, Art. 267(3)), and only where the claim would otherwise have to be granted (Grand Chamber of the Supreme Court, No. 755/13805/16-ц). Dispute the claims themselves first, and raise limitation in the statement of defence as an additional argument. On appeal, such an application will be considered only if the defendant was not properly notified or other valid reasons objectively prevented it from being made earlier (Grand Chamber of the SC, No. 756/8056/19; the CmCC SC took the same view in a commercial case, No. 910/7987/22). The Civil Code provision that extended limitation periods for the duration of martial law was deleted as of 4 September 2025 (Law No. 4434-IX) without transitional rules, so check separately any periods that had already been extended.

Check the penalty (penya) under the rules that have applied since the Commercial Code ceased to have effect on 28 August 2025. The statutory penalty equals twice the NBU discount rate in effect during the period of delay, and the contract may set a lower amount (Civil Code, Art. 549(3), second paragraph), while a contractual penalty may not exceed twice the rate (Law No. 543/96-ВР, Art. 3). For example, with a discount rate of 16 % (since 18 September 2026), the penalty ceiling is 32 % per annum; check the rate for each period of delay on the NBU website. Article 549 of the Civil Code has no six-month cap on accrual like the one in Art. 232(6) of the Commercial Code. We showed which mistakes make the court recalculate the penalty and other charges in our article on calculating 3 % per annum, inflation losses and the penalty for a claim.

Counterclaim: together with the statement of defence or as a separate case

A counterclaim can be filed only within the time limit for the statement of defence (Commercial Procedure Code, Art. 180(1)) and with the same court that is hearing the original claim, regardless of jurisdiction, unless the dispute falls within the exclusive jurisdiction of another court (Art. 30(14)). In simplified proceedings, filing one means switching to general proceedings (Art. 180(7)). Since 24 April 2026, a legal entity bringing a claim for money must state its bank account details and attach a document confirming that the account exists (Art. 162(7), Art. 164(7), Law No. 4833-IX), and under Art. 180(4) this also applies to a counterclaim.

The court fee for a counterclaim is paid on general terms (Law “On Court Fee”, Art. 6(6)): for a property claim it is 1.5 % of the claim value, in 2026 no less than UAH 3,328 and no more than UAH 1,164,800, and for filings through the Electronic Court the rate is multiplied by 0.8 (Art. 4 of the Law). A hypothetical example: for a counterclaim of UAH 500,000 the fee is UAH 7,500 on paper or UAH 6,000 in electronic form.

The CmCC SC’s case law is divided on whether a missed time limit for a counterclaim can be restored. In case No. 918/604/23 the counterclaim was sent by post more than a month after the time limit had expired and without an application for restoration. The CmCC SC confirmed that it had been rightly returned: such a time limit is restored only on a participant’s application, not on the court’s own initiative. The same claims can be brought in a separate action. In its ruling in case No. 910/3600/22 the CmCC SC went further: Art. 180 of the Commercial Procedure Code does not provide for restoring this time limit at all. Even where restoration is allowed, martial law in itself is not a ground for it: you have to show specific circumstances that prevented you from filing the document on time (ibid., citing the Grand Chamber of the SC, No. 990/115/22). So it is safer to file the counterclaim together with the statement of defence.

Time limits that expire with the statement of defence or earlier

Step

Time limit

Commercial Procedure Code

If missed

Objection to simplified proceedings chosen at the claimant’s request

as set in the ruling, at least 5 days

Art. 176(4), Art. 250(5)

general proceedings only for good reasons

Recusal of the judge

10 days from receipt of the ruling, but before the first hearing

Art. 38(3)

only on a ground you could not have known about earlier, within 2 days

Statement of defence

15 days (simplified) or as set in the ruling, at least 15 days (general)

Art. 251(1), Art. 165(8)

the case is decided on the available materials

Evidence and motions for the court to obtain it

with the statement of defence

Art. 80(3), (8), Art. 81(1)

the court will not accept them unless you prove the reasons were beyond your control

Counterclaim

within the time limit for the statement of defence

Art. 180(1), (6)

the court returns it

Preliminary estimate of legal costs

with the statement of defence

Art. 124

the court may refuse to award costs, except the court fee

What happens if you stay silent

The case will be decided without your side of the story

Without a statement of defence and without good reasons, the court “decides the case on the available materials” (Commercial Procedure Code, Art. 165(9)). On that basis, the Commercial Court of Zhytomyr Region refused an extension in case No. 906/555/24: the ruling was delivered to the cabinet on 27 May 2024 at 17:55, it was deemed served on 28 May, and the last day for the statement of defence was 12 June 2024. For general proceedings, the CmCC SC’s case law is not uniform. In case No. 918/604/23, heard under the general rules, the time limit for the statement of defence itself, and with it the time limit for a counterclaim, was described as set by law. In case No. 910/9677/21, the time limit for the statement of defence was described as set by the court. If the time limit has already expired, file the statement of defence together with an application for restoration and evidence of good reasons.

How are simplified proceedings different?

The case must be heard within 60 days of the opening of proceedings (Art. 248(1)), and unless a party asks otherwise, it is heard without notifying the parties (Art. 252(5)). In a dispute over the recovery of up to 100 subsistence minimums (UAH 332,800 in 2026), the court may refuse to hold a hearing with the parties notified if the nature of the dispute does not require one (Art. 252(6)). Claims over 500 subsistence minimums (UAH 1,664,000) are not heard under the simplified procedure (Art. 247(4)(8)). In 2025, local commercial courts received 29,727 statements of claim worth up to 100 subsistence minimums, 11,550 worth between 100 and 500, and 9,664 worth over 500 (SJA). On average, commercial courts took 85 days to hear a case (CmCC SC analysis).

Can you reach an agreement with the claimant once the case is already in court?

Yes, a settlement agreement can be concluded and the claim admitted at any stage (Commercial Procedure Code, Art. 192(2), Art. 191(1)). If the settlement agreement is concluded before the first-instance judgment, or the claim is admitted before the case is heard on the merits, the claimant gets back 50 % of the court fee, and 60 % after mediation (Art. 130(1)). In 2025, first-instance commercial courts approved 1,099 settlement agreements (SJA). Until the court approves the agreement, prepare the statement of defence in parallel, and draft its terms as carefully as you would in the pre-trial settlement of commercial disputes.

The ruling is already in your Electronic Cabinet, but you have no position yet

Send us the ruling opening the proceedings, the claim with its annexes and a screenshot of the cabinet showing the date and time of delivery.
